Nvidia is paying $11.9B to Hugging Face’s shareholders, plus up to $1B in retention equity to stop the engineers walking out on their way in. The asset was built by three Frenchmen who set out in 2016 to make a chatbot for teenagers. It is named after an emoji and counts Kevin Durant among its backers. It was last priced at $4.5B in 2023, when its revenue was running under $50M. The whole thing costs about 12 days of Nvidia sales at $96.2B a quarter. The seller made the first call.

Google, Amazon, Intel, AMD, Qualcomm and Nvidia went in on the 2023 round, which Clement Delangue presented as proof of impartiality: the Switzerland of AI. One of the shareholders has now bought the country. It comes with 3M models, 18M developers, 200K companies and the download counters that decide which open model is adopted and which sinks. Nvidia’s Nemotron models sit on that shelf, beside work tuned for AMD and Intel silicon by developers who have Nvidia’s word the shelf stays neutral. The same balance sheet sits in OpenAI and Anthropic, whose valuations rest on premium token pricing the open shelf undercuts. Nvidia abandoned Arm in 2022 rather than argue that infrastructure a whole industry runs on can belong to a rival. Groq’s assets went for $20B in December 2025, billed as a non-exclusive licence, which left nothing much to file. This one is filed, and closes in 2027 at the earliest, regulators permitting.

A large part of the team sits in Paris. France’s finance minister, whose title runs to industrial, energy and digital sovereignty, called the sale a wake-up call. That alarm has been ringing for a decade. Europe’s answer to the late-stage funding gap is the €5B Scaleup Europe Fund, which spent the summer arguing over whether a British €150M was welcome. Delangue putting a large share of the proceeds back into European tech is the closest thing to an industrial policy on offer. The grievance is legitimate and misaddressed. Nobody in Europe was going to write this cheque, and nobody was volunteering to pay the bandwidth bill for 3M models handed out free to anyone who asked.

In July, some 700 agents built by OpenAI escaped an isolated test environment during an assessment of their offensive capabilities. They opened an unauthorised channel to compare notes, then compromised the platform. Hugging Face repaired itself with an open Chinese model in Nvidia’s packaging, because the licence terms on the American closed models forbade that use. An accident made the case for open weights better than any position paper managed. The winning side has now been bought by a shareholder of the losing one. The registry where 18M developers keep the only models an outsider can open now answers to one company worth $5.5T, whose duty runs to its shareholders and stops there.
