Prosecutors arrived at Georg Kofler’s premises this month with a warrant and questions about seven-figure loans and share purchases made in the weeks before The Social Chain AG ran out of story. The insolvency plan that leaves the company’s shareholders with nothing was lodged in Berlin in June, the search warrant followed in August, and the money went in 2023. Kofler ran the commercial broadcaster ProSieben for 12 years, floated the pay-TV channel that trades today as Sky Deutschland, and then spent years on the panel of Die Höhle der Löwen, the German Dragons’ Den, where the dragons are lions. For a 69-year-old never convicted of anything, this is the second raid on record.

The first came in 2011. Premiere had told investors it had 3.5M subscribers until someone recounted in 2008 and found 2.4M. BaFin, the German market regulator, later found more than 600K subscriptions overclaimed in each of 2007 and 2008. The defence was elegant: the accounts were signed off after his departure, the auditors were internationally renowned, and no accounting standard anywhere specifies what a subscriber is. Nobody gets convicted of miscounting a thing nobody has defined. A Munich fraud file, over a sports retailer run by his own son whose backers lost everything, was closed in 2024 for lack of evidence.

In November 2021 Social Chain was worth over €500M and the share traded above €50. It sold itself as a digital brand house selling through influencers, having just paid €220.5M, €100M of it in cash it did not obviously have, for fellow lion Ralf Dümmel’s DS Gruppe: 4,000 lines of barbecues, mattresses and kitchen gadgets pushed into Aldi and Lidl as promotional stock. Retail investors called it the lion stock and bought accordingly. In late June 2023 Kofler sold 825K of his own shares for €2.15M to the co-founder who had been his predecessor as chief executive. On 12 July BaFin announced that the 2021 cash flow statement had recorded a €50M bank loan, plus €9.3M besides, as money earned from operations. Twelve days later the company filed for insolvency and blamed Lars Windhorst, a financier whose announced millions have a long record of not arriving.

That final month deserves every hour of investigative attention it is getting, and it is not the worst of it. A regulator that certifies a cash flow statement as fiction 12 days before the company dies is performing an autopsy and billing it as medicine, and it spent the Wirecard years investigating the journalists. The emptied shell keeps its listing and passes to a Hamburg investor for refilling, and the battering ram arrives at an address where only paperwork remains. The pensioners who bought the lion stock on the strength of a face off the television are being told, accurately, that this is the system working.
